Market Dynamics

What are demand trends in the markets the target operates in? What macro and micro trends will impact demand for the company's goods and services in the future? We will forecast demand using a series of scenarios to quantify how market trends may impact a potential acquisition target’s value and allow you to target the markets most poised for growth.

Competition

What are the competitive dynamics in the markets the target operates in? How do the company’s product mix, pricing and distribution channels compare to their competitors?  How is the business perceived by its customers and competitors?  How strong are barriers to entry in the market? We will provide a clear picture of the competitive landscape to enable you to understand where the target fits into the market and how you can improve its competitive positioning to drive revenue growth post transaction.

Technology Assessment

Are the target's revenue and operating margin forecasts overly ambitious? Have future cost assumptions been developed based on achievable benchmarks and have they taken into account external factors? Does the company’s marketing and sales performance and product innovation support their forecasts?  Do the company’s internal data and external market forecasts match the business plan? We will validate the target company’s business plan, including top-line revenues and operational margins while identifying key opportunities for revenue enhancement and cost reduction post-transaction to create new opportunities for growth.

Synergy Valuation

Synergies are one of the most critical and historically overestimated parts of the M&A process. Is the company a strategic fit for the acquirer’s goals? What kind of value can the acquirer unlock, either through cost reductions or through integrating the target into the acquirer’s core business?  We will help you prevent the surprises that happen when assumed operational improvements and cost reductions aren’t as impactful as planned or take longer than expected to realize.

Regulatory

Are there any regulatory issues to consider and, if so, how will they be resolved? Are there any changing state, local, or federal regulations that could impact the target’s ability to execute their business plans? We will assess the potential regulatory risks of anti-trust concerns and other regulatory issues and how they may impact the target’s ability to achieve its forecasts.

Strategy / 100 Day Plan

Is the acquirer planning ahead to execute the optimum growth strategy and integrate the target even before the deal has closed? Does the management team’s growth strategy take into account the target’s true competitive position? The first 100 days after an acquisition are critical to long-term value creation. We will help you define a clear strategic direction for the company, position the organization to execute the defined strategy, and identify and prioritize opportunities to improve the company’s performance.
